Commercial Litigation

Commercial litigation involves almost every type of dispute that can arise with businesses. This includes breach of contract cases, partnership/joint venture disputes, class actions, business torts, civil RICO claims, breach of fiduciary duty allegations, and shareholder issues. Litigation occurs in various venues, from state and federal courts to private arbitrations and administrative hearings. Proceedings can involve business-to-business disputes or any number of government agencies. Commercial litigators are under increasing client pressure to keep costs in check, which has both sides testing the efficacy of alternative fee arrangements and the scope of reasonable discovery.

Corporate Transactions

Corporate Transactions mean a sale of all or substantially all of a Company’s assets. This can relate to a merger, consolidation or other capital reorganization or business combination transaction of the Company with or into another corporation, entity or person, or the direct or indirect acquisition (including by way of a tender or exchange offer) by any person, or persons acting as a group, of beneficial ownership or a right to acquire beneficial ownership of shares representing a majority of the voting power of the then outstanding shares of capital stock of the Company.

Employment law encompasses all areas of the employer/employee relationship. This excludes any negotiation process covered by labor law and collective bargaining. Real Estate Law

Real estate law governs who may own and use the land. Real estate may be either residential or commercial. It can be owned by one person but used by another through rental arrangements. Land can be bought or sold, and due to its high value, there are many local laws that ensure real estate transactions are properly performed and recorded. Land may also pass between family members through estate planning, or may be owned by more than one person.

Civil Rights Law

Civil rights encompass the basic human rights that all Americans are guaranteed by the U.S. Constitution. Federal and state constitutional law, statutes, administrative regulations, and judicial interpretation have defined and expanded these civil rights over time. Many civil rights, such as the right to be free from unreasonable search and seizure, are granted explicitly by the U.S. Constitution. Other civil rights have been created by statutes enacted by Congress or state legislatures, such as the right to be free from discrimination based on race, or the right to receive equal pay for equal work. Federal statutes in the area of civil rights law include the Civil Rights Act, the Age Discrimination in Employment Act, and the Equal Pay Act, among others. Other federal laws, supplemented by court decisions, prohibit discrimination in voting rights, housing, public education, and access to public facilities.

Environmental Law

Environmental laws regulate the impact of human activities on the environment. Environmental law covers a broad range of activities that affect air, water, land, flora or fauna some of which include but not limited to the Protection of Animals and Plants, Planning for the Use and Development of Land, Mining, Exploration, Forestry, Pollution, Fisheries, Agriculture, and Waste Management.
